Terms of Service

These terms govern your use of Brain. They form a binding agreement between you (or the organisation you represent) and Soon Technologies B.V. (Herengracht 420, 1017 BZ Amsterdam, Netherlands; KvK 75939401; VAT NL860449403B01), a company incorporated in the Netherlands. By creating an account or using Brain you accept these terms.

1. The service

Brain is a shared, sourced memory for teams and their agents. We provide the software, hosting and reasonable support to keep it working. Features may change as the product evolves; we will not materially reduce paid features without notice.

2. Your account

You must be at least 16 years old. You are responsible for keeping your credentials confidential and for everything done under your account. Tell us immediately at security@brain.app if you suspect unauthorised use.

3. Acceptable use

Do not use Brain to break the law, infringe intellectual property, store illegal content, send spam or malware, probe or attack the service, reverse engineer it outside what EU law allows, or attempt to bypass usage limits. We may suspend accounts that put the service, other customers or third parties at risk.

4. Your content

You keep all rights to the content you put into Brain. You grant Soon Technologies B.V. a limited, non-exclusive licence strictly to host, process and display that content as needed to operate the service for you, and to generate AI responses you ask for. We do not use your content to train foundation models. You can export everything as plain markdown and delete it at any time.

5. Plans and payment

Paid plans are billed in advance, monthly or annually, in EUR. Prices exclude VAT unless stated. We may change pricing for future billing periods with at least 30 days' notice. Late payment may lead to suspension of the workspace until the balance is settled.

6. Cancellation and refunds

You can cancel at any time from settings; access continues until the end of the paid period. We do not provide refunds for partial periods, except where required by mandatory consumer law. EU consumers have a 14-day right of withdrawal under the Dutch implementation of Directive 2011/83/EU, except where service performance has begun with your explicit consent.

7. Service level

We aim for high availability but do not guarantee uninterrupted service on free or self-serve plans. Team plans include a target uptime documented in the order form. Planned maintenance is announced in advance where possible.

8. Confidentiality and privacy

Our handling of personal data is described in the Privacy Policy. A Data Processing Agreement under Art. 28 GDPR is available on request and forms part of these terms when signed.

9. Intellectual property

Brain, including its software, branding and documentation, is owned by Soon Technologies B.V. and protected by Dutch and EU law. Nothing in these terms transfers ownership to you. You may not copy, modify, distribute or create derivative works of the service except as expressly permitted.

10. Warranties and liability

Brain is provided on an 'as is' basis to the extent permitted by law. Where mandatory consumer law applies, your statutory rights are unaffected. To the maximum extent permitted by law, Soon Technologies B.V.'s aggregate liability under or in connection with these terms is limited to the fees you paid in the 12 months preceding the event giving rise to the claim. We are not liable for indirect or consequential damages, loss of profits or loss of data beyond what we can reasonably restore from backups. Nothing in these terms limits liability for intentional misconduct, gross negligence, or personal injury caused by our negligence.

11. Indemnity

You will defend and indemnify Soon Technologies B.V. against third-party claims arising from your unlawful use of the service or breach of these terms, to the extent permitted by law.

12. Suspension and termination

We may suspend or terminate access for serious breach of these terms, non-payment, or where required by law. We will give reasonable notice where possible. On termination you can export your data for 30 days, after which it is permanently deleted (subject to backup retention).

13. Changes to these terms

If we materially change these terms we will notify account holders by email at least 30 days before they take effect. Continued use after that date constitutes acceptance. If you do not accept the new terms you may terminate and receive a pro-rata refund of prepaid fees.

14. Governing law and disputes

These terms are governed by the laws of the Netherlands, excluding conflict-of-law rules. Disputes will be submitted to the competent court in Amsterdam, the Netherlands, without prejudice to mandatory consumer protections of your country of residence in the EU. EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
